Distance Sales Agreement

This is the distance sales agreement for subscription purchases made through the QuestionWall platform.

BUYER:

The user who purchases a subscription by registering on the QuestionWall platform. The Buyer's name, surname, address, and contact information are collected during registration.

2. Subject of the Agreement

This Distance Sales Agreement regulates the rights and obligations of the parties in accordance with the Consumer Protection Law No. 6502 and the Distance Contracts Regulation.

The subject of the agreement is to determine the conditions regarding the sale and delivery of the subscription service ordered by the Buyer electronically through the QuestionWall platform.

The Buyer acknowledges that they have read and are informed about the essential characteristics, sales price, payment method, and delivery of the subscription service, and that they have given the necessary electronic consent.

3. Description and Features of the Service

QuestionWall is a real-time Q&A platform for live events, conferences, classes, and meetings. The platform enables event organizers to collect questions from participants, manage those questions, and host interactive sessions.

Subscription plans (Free, Pro, Business) offer different features and usage limits. Detailed features of each plan are published on the questionwall.com/pricing page.

Core service features include: event creation, question collection and management, real-time voting, AI-powered answers, moderation tools, analytics reports, live streaming mode, team management, and API access. The availability and limits of each feature vary based on the selected subscription plan.

The service is provided entirely in a digital environment, and there is no physical product delivery. The service becomes available immediately upon subscription purchase.

4. Service Fee and Payment

Current prices for subscription plans are listed on the questionwall.com/pricing page in Turkish Lira (TRY) and US Dollars (USD). Prices are final amounts including taxes.

Monthly and yearly subscription options are available. A discounted price applies for yearly subscriptions.

Payments are processed via credit/debit card through the iyzico secure payment infrastructure. iyzico is a payment institution licensed by the BRSA (Banking Regulation and Supervision Agency), and all transactions are protected with the 3D Secure security protocol.

For purchases made through the mobile application, payment is processed through the Apple App Store or Google Play Store under the respective platform's payment terms.

The subscription fee is automatically renewed according to the selected payment period (monthly or yearly). Automatic renewal continues until the subscription is cancelled.

5. Service Delivery

The subscription service becomes available immediately upon successful completion of payment. As it is a digital service, there is no physical delivery process.

The platform is designed to be accessible 24/7. However, temporary interruptions may occur due to technical maintenance, updates, or force majeure. Planned maintenance is announced in advance.

Service delivery requires the Buyer to have internet access and a compatible web browser or mobile device. The Seller is not responsible for access issues arising from failure to meet these conditions.

6. Right of Withdrawal

In accordance with Article 15 of the Consumer Protection Law No. 6502 and Article 15 of the Distance Contracts Regulation, the right of withdrawal cannot be exercised for services that are instantly performed electronically and digital content sales.

The QuestionWall subscription service is excluded from the right of withdrawal as it is a digital service that becomes immediately available upon payment. The Buyer acknowledges and accepts this condition.

However, as part of its customer satisfaction policy, the Seller may evaluate refund requests made within the first 24 hours of subscription. This evaluation is entirely at the Seller's discretion and does not constitute a legal obligation.

7. Subscription Cancellation and Changes

The Buyer may cancel their subscription at any time through account settings. A cancelled subscription remains active until the end of the current billing period and expires at the end of the period.

No partial refund is provided for the remaining period upon cancellation. The subscription continues to be fully functional throughout the paid period.

Plan upgrade takes effect immediately with the price difference being charged. Plan downgrade takes effect at the end of the current period.

Subscriptions purchased through the mobile application must be cancelled through the respective app store (App Store or Google Play Store).

8. Protection of Personal Data

The Buyer's personal data is protected under the Turkish Personal Data Protection Law No. 6698 (KVKK) and the European Union General Data Protection Regulation (GDPR).

Payment information is processed by the iyzico secure payment infrastructure, and no credit card information is stored on QuestionWall servers.

The Buyer acknowledges that they have read and understood the privacy notice regarding the processing of their personal data.

9. Intellectual Property Rights

The design, software, logo, graphics, and all content of the QuestionWall platform are the intellectual property of the Seller and are protected by copyright.

The Buyer retains ownership rights to events and content created through the platform. However, no rights can be claimed over the platform's technical infrastructure, design, and software.

The Buyer may use the platform only for personal or commercial purposes; copying, distributing, or reverse engineering the platform is prohibited.

10. Limitation of Liability

QuestionWall does not guarantee that the platform will operate without interruption or error. The service is provided "as-is".

The Seller cannot be held liable for indirect, incidental, special, or punitive damages arising from the Buyer's use of the platform.

The Seller's total liability shall in no case exceed the subscription fees paid by the Buyer in the last 12 months.

The Seller accepts no liability if the service cannot be provided due to force majeure (natural disasters, war, terrorism, pandemics, internet infrastructure outages, legal regulations, etc.).

11. Dispute Resolution

The laws of the Republic of Turkey shall apply to disputes arising from this agreement.

In case of disputes, Consumer Arbitration Committees are authorized for consumer complaints up to the value announced by the Ministry of Commerce, and Consumer Courts are authorized for disputes above this value.

The Buyer may also submit complaints through the Consumer Information System (TÜBIS).

The parties shall make reasonable efforts to resolve disputes primarily through negotiation.

12. Agreement Amendments

The Seller reserves the right to amend this agreement with prior notice. Amendments take effect on the date of publication on the website.

Significant changes will be notified to the Buyer's registered email address. If the Buyer continues to use the service after changes, they are deemed to have accepted the updated agreement.

The Buyer may cancel their subscription if they do not accept the agreement changes.

13. Effective Date

This Distance Sales Agreement takes effect upon the Buyer's electronic approval. The agreement remains valid throughout the subscription period.

The Buyer declares and undertakes that they have read, understood, and accepted all articles of this agreement.

A copy of this agreement may be sent to the Buyer's registered email address and is always accessible through the platform.
